Acceptance of these terms

By creating an account or using WALDHORN.AI, you agree to these Terms of Service and to our Privacy Policy. If you are using the service on behalf of an organization, you confirm that you are authorized to bind that organization.

The service

WALDHORN.AI is a software tool that helps you generate, review, negotiate, electronically sign, and audit music-industry contracts, and organize related rights information. It uses AI to produce drafts and analysis based on the information you provide.

Not legal advice

WALDHORN.AI is a tool, not a law firm, and does not provide legal advice. Nothing in the service creates a lawyer-client relationship. Its output can be wrong or incomplete. For a high-stakes deal, have a qualified attorney review the agreement before you rely on it or sign it.

Your account

You are responsible for the accuracy of your account information, for keeping your credentials secure, and for activity under your account. Tell us promptly if you suspect unauthorized use.

Acceptable use

You agree not to:

• Use the service for anything unlawful, infringing, or fraudulent.
• Upload content you do not have the right to provide.
• Attempt to breach security, disrupt the service, or reverse engineer it.
• Resell or misrepresent the service, or use it to build a competing model or product.

Credits, billing, and refunds

Some features are free, and others use credits or a subscription as described on the Pricing page. Paid amounts are billed through our payment processor. Unless stated otherwise or required by law, purchases of credits and completed subscription periods are non-refundable. We may change prices prospectively with notice.

Your content and ownership

You keep ownership of the contracts and information you provide and of the documents the service generates for you. You grant us the limited rights needed to operate the service, such as processing your content through the AI subprocessors listed in our Subprocessors page to produce the output you request. You are responsible for how you use that output.

Our intellectual property

The service itself, including its software, design, clause libraries, and brand, belongs to WALDHORN AI INC and its licensors. These terms do not transfer any of those rights to you beyond the right to use the service as intended.

Third-party services

The service depends on third parties for hosting, AI inference, payments, and email. Your use of those features is also subject to the relevant provider terms. We are not responsible for third-party services outside our control.

Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the output is accurate, complete, or suitable for your particular deal.

Limitation of liability

To the maximum extent permitted by law, WALDHORN AI INC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the twelve months before the claim.

Indemnification

You agree to indemnify and hold WALDHORN AI INC harmless from claims arising out of your content, your use of the service, or your breach of these terms, to the extent permitted by law.

Suspension and termination

You may stop using the service at any time. We may suspend or end access if you breach these terms or to protect the service or its users. Provisions that by their nature should survive termination will survive.

Changes

We may update the service and these terms. When changes are material, we will update the date above and, where appropriate, notify you. Continued use after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of the place of incorporation of WALDHORN AI INC, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the competent courts of that place, except where mandatory local law provides otherwise.
